DMN8 Terms of Use

These Terms of Use (“Terms”) govern your access to and use of DMN8’s websites, DMN8-operated digital experiences, including the DMN8 experience powered by FitOS, online accounts, content, communications, and other digital services (collectively, the “Digital Services”). DMN8 owns and operates FitOS. By accessing or using the Digital Services, you agree to these Terms.
1. Eligibility & Accounts
1.1. You must be at least 18 years old to create an account or use Digital Services intended for adults, unless DMN8 expressly permits use by a minor with appropriate parent or guardian consent.
1.2. You agree to provide accurate, current information, maintain the security of your login credentials, and promptly notify DMN8 of suspected unauthorized account access.
1.3. You are responsible for activity occurring through your account to the extent permitted by law. You may not impersonate another person, create an account using information you are not authorized to use, or attempt to gain unauthorized access to another account.
2. Purchases, Memberships & Physical Services
2.1. Purchases of memberships, packs, passes, drop-ins, reservations, and other paid DMN8 products are governed by the DMN8 Membership & Services Agreement and the product-specific terms displayed at purchase.
2.2. Participation in fitness, training, recovery, wellness, facility, or other physical services may also be subject to a separate Liability Waiver, safety acknowledgments, facility rules, or activity-specific terms.
2.3. If these Terms conflict with the Membership & Services Agreement regarding a purchase, membership, reservation, billing matter, cancellation, credit, or physical-service relationship, the Membership & Services Agreement controls for that matter unless prohibited by law.
3. Acceptable Use
3.1. You may use the Digital Services only for lawful purposes and in accordance with these Terms.
3.2. You may not interfere with the operation or security of the Digital Services; attempt to access systems, accounts, or data without authorization; introduce malicious code; scrape or harvest information through automated means except as permitted by law; misuse booking or account functionality; or use the Digital Services in a manner that harms DMN8, its customers, employees, providers, or other users.
3.3. DMN8 may investigate suspected misuse and may restrict or suspend access to protect the Digital Services, other users, or DMN8.
4. Intellectual Property
4.1. The Digital Services and their content, including DMN8 and FitOS names, logos, branding, designs, text, graphics, software, interfaces, and other materials, are owned by DMN8 or its licensors and are protected by applicable intellectual-property laws.
4.2. DMN8 grants you a limited, personal, non-exclusive, non-transferable, revocable right to access and use the Digital Services for their intended purposes.
4.3. Except as permitted by law or with DMN8’s written permission, you may not reproduce, modify, distribute, sell, license, reverse engineer, create derivative works from, or commercially exploit the Digital Services or DMN8 content.
5. User Content & Feedback
5.1. If the Digital Services allow you to submit reviews, comments, photos, messages, feedback, or other content, you represent that you have the rights necessary to submit that content and that it does not violate law or the rights of others.
5.2. You grant DMN8 a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and use submitted content as reasonably necessary to operate, improve, and promote the Digital Services, subject to applicable law and DMN8’s Privacy Policy.
5.3. If you voluntarily provide ideas, suggestions, or feedback about DMN8 or FitOS, DMN8 may use that feedback without restriction or compensation, subject to applicable law.
6. Third-Party Services & Links
6.1. The Digital Services may integrate with or link to third-party services, including payment, communications, mapping, analytics, social-media, and other technology providers. Third-party services may be governed by their own terms and privacy practices.
6.2. DMN8 is not responsible for third-party websites or services that it does not own or control, except to the extent responsibility cannot be excluded under applicable law.
7. Communications
7.1. DMN8 may send transactional or service-related communications necessary to administer your account, purchases, bookings, payments, safety matters, or other requested services.
7.2. Marketing email or text communications are sent based on the consent or other lawful basis applicable to the communication. You may unsubscribe from marketing email using the unsubscribe link provided and may opt out of marketing SMS by replying STOP. Message and data rates may apply.
7.3. Opting out of marketing communications does not prevent DMN8 from sending non-marketing communications that are necessary for an existing transaction, account, booking, or service relationship.
8. Privacy
8.1. DMN8’s collection, use, disclosure, and protection of personal information is described in the DMN8 Privacy Policy. The Privacy Policy applies to DMN8’s online and offline privacy practices and is incorporated into these Terms by reference.
9. Availability, Changes & Digital Services
9.1. DMN8 may update, modify, suspend, or discontinue features of the Digital Services from time to time. DMN8 does not guarantee that every feature will always be available, uninterrupted, error-free, or compatible with every device.
9.2. DMN8 may perform maintenance, security updates, or other changes that temporarily affect availability.
10. Disclaimer of Warranties
10.1. To the fullest extent permitted by law, the Digital Services are provided on an “as is” and “as available” basis. DMN8 disclaims warranties not expressly provided by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
10.2. DMN8 does not warrant that information available through the Digital Services will always be complete, current, or error-free. Nothing in the Digital Services constitutes medical advice.
11. Limitation of Liability
11.1. To the fullest extent permitted by law, DMN8 and its owners, officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of or inability to use the Digital Services.
11.2. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Liability relating to participation in physical DMN8 activities is additionally governed by applicable waivers and the Membership & Services Agreement.
12. Indemnification
12.1. To the extent permitted by law, you agree to indemnify and hold harmless DMN8 and its owners, officers, employees, contractors, and affiliates from third-party claims, liabilities, damages, and reasonable costs arising from your unlawful misuse of the Digital Services, your violation of these Terms, or content you submit.
13. Suspension & Termination of Digital Access
13.1. DMN8 may restrict, suspend, or terminate access to the Digital Services for material violation of these Terms, fraud, security threats, unlawful conduct, or misuse of DMN8 systems, subject to applicable law.
13.2. Termination of digital access does not eliminate amounts previously owed or alter rights and obligations that by their nature survive termination.
14. Changes to These Terms
14.1. DMN8 may update these Terms from time to time. The current version and effective date will be posted with the Terms.
14.2. DMN8 will provide additional notice or obtain consent for material changes when required by applicable law. Continued use after an effective change may constitute acceptance to the extent permitted by law.
15. Disputes & Governing Law
15.1. These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where another jurisdiction’s non-waivable law applies.
15.2. If you have accepted a DMN8 agreement containing an applicable arbitration provision, including the Membership & Services Agreement, that arbitration provision governs disputes within its scope.
15.3. For disputes arising solely from these Terms that are not subject to an applicable arbitration agreement, the parties consent to the state or federal courts located in Los Angeles County, California, except where applicable law requires otherwise.
16. In-Person Conduct & Facility Standards
16.1. When visiting a DMN8 facility or participating in a DMN8 activity, you are expected to behave respectfully toward other customers, guests, employees, trainers, and contractors and to comply with posted facility rules and reasonable staff instructions.
16.2. Harassment, threatening or abusive behavior, violence, theft, vandalism, unsafe conduct, unauthorized filming or photography of others, intentional disruption of activities, and other conduct that interferes with the safety, privacy, or experience of others is prohibited.
16.3. Customers and guests must wear attire appropriate for the applicable activity and facility area and comply with any posted attire, footwear, hygiene, or safety requirements. DMN8 may require a Customer or guest to modify attire or refrain from using an area when reasonably necessary for safety, hygiene, or the comfort of others.
16.4. DMN8 may deny or revoke facility access for violations of these standards or other DMN8 policies, subject to applicable law.
17. Miscellaneous
17.1. If any provision of these Terms is found unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law.
17.2. DMN8’s failure to enforce a provision is not a waiver of its right to enforce that provision later.
17.3. These Terms, together with the Privacy Policy and any additional agreement applicable to a particular product or service, constitute the applicable agreement between you and DMN8 regarding the subject matter they cover.
